Terms of Use
KedgePoint Advisors LLC
Effective date: October 1, 2026
These Terms of Use (the "Terms") govern your use of kedgepoint.com and any page, form, or content we publish there (together, the "Site"). The Site is operated by KedgePoint Advisors LLC, a Washington limited liability company ("KedgePoint," "we," "us," or "our").
By using the Site, you agree to these Terms. If you do not agree, do not use the Site. We wrote these Terms in plain English on purpose. Plain English does not make them less binding.
1. What the Site is, and what it is not
The Site publishes articles, frameworks, worked examples, and general commentary about building, running, growing, and exiting privately held companies. It also lets you request a free initial consultation.
Everything on the Site is general information. None of it is advice to you. The Site does not provide legal, tax, accounting, investment, financial-planning, or valuation advice, and nothing on it should be read as a recommendation about your company, your transaction, or your personal finances. Business valuation figures, multiples, and worked examples on the Site are illustrative ranges built on stated assumptions. They are not appraisals, opinions of value, or predictions about any real company.
Reading the Site does not make you a client. No advisor-client, fiduciary, or professional relationship is formed by reading our content, submitting a form, subscribing to our emails, or attending a free initial consultation. A client relationship with KedgePoint exists only when both of us have signed a written engagement agreement that describes the scope of the work. Until then, do not send us confidential information you would not want shared, and do not rely on anything we publish or say as advice specific to your situation.
Our principal holds the Certified Exit Planning Advisor (CEPA) designation issued by the Exit Planning Institute. That designation is a professional credential, not a license to practice law, accounting, or investment advising. Before acting on anything you read here, consult your own attorney, CPA, financial advisor, or other qualified professional.
Past results described on the Site, whether KedgePoint's or anyone else's, do not guarantee future results. Every company and every owner is different.
2. The free initial consultation
The Site lets you request a free initial consultation through a scheduling form. That conversation is a scoping call. Its purpose is to understand your situation at a high level and decide together whether a paid engagement makes sense. It is not advice, it is not a deliverable, and it creates no obligation on either side.
Scheduling is handled by a third-party provider, [SCHEDULING TOOL NAME]. Information you enter into that form is governed by our Privacy Policy and by that provider's own terms and privacy policy.
We may decline any consultation request, for any reason, without explanation.
3. Who may use the Site
You must be at least 18 years old to use the Site, submit a form, or subscribe to our emails. The Site is intended for business owners, executives, and the professionals who advise them. It is not directed to children, and we do not knowingly collect information from anyone under 18.
4. Acceptable use
You may use the Site for lawful purposes connected to learning about our work and the topics we cover. You agree not to:
Copy, scrape, crawl, or harvest the Site's content or data by automated means, except as a search engine indexes a public page in the ordinary way.
Use any part of the Site's content to train, fine-tune, or evaluate a machine-learning or artificial-intelligence model without our written permission.
Republish, sell, sublicense, or commercially exploit our content.
Submit false, misleading, or someone else's information through a form.
Attempt to gain unauthorized access to the Site, its hosting, or any connected system.
Interfere with the Site's operation, introduce malicious code, or impose an unreasonable load on our infrastructure.
Use the Site in any way that violates applicable law or infringes anyone's rights.
We may restrict or block access to the Site for anyone we believe is violating these Terms.
5. Our content and your license to it
The Site and everything on it, including text, articles, frameworks, graphics, images, page design, and the KedgePoint name, logo, and tagline "Pulling You to an Intentional Outcome," are owned by KedgePoint or used under license and are protected by copyright, trademark, and other intellectual-property laws.
We grant you a limited, revocable, non-exclusive license to view the Site and to print or save single copies of articles for your own personal, non-commercial reference.
You are welcome to quote short excerpts of our articles, with attribution and a link back to the original page, in your own commentary, social media posts, or presentations. You may not reproduce an article in full, remove attribution, or present our content as your own.
Frameworks, methodologies, and terms we reference from third parties (for example, the Exit Planning Institute's Value Acceleration Methodology, the Entrepreneurial Operating System, or published research we cite) belong to their respective owners. We cite them as third-party sources and claim no ownership of them.
6. Feedback and submissions
If you send us comments, suggestions, or ideas about the Site or our work, you agree we may use them without restriction or compensation. Do not send us anything you consider confidential or proprietary through the Site; see Section 1.
7. Email communications
If you subscribe to our emails or request a consultation, you consent to receive email from us about our content, services, and related topics. Every marketing email we send includes a working unsubscribe link, and we honor opt-outs promptly. See our Privacy Policy for details.
8. Third-party sites and tools
The Site links to third-party websites and relies on third-party tools (scheduling, email delivery, hosting). We do not control those parties and are not responsible for their content, availability, terms, or privacy practices. A link is not an endorsement. Your use of any third-party site or tool is at your own risk and subject to that party's terms.
9. Illustrative examples and composites
Worked examples, scenarios, and "composite owners" on the Site are constructed to illustrate a concept. Unless we say otherwise, they do not describe a real client or a real company, and any resemblance to an actual business is coincidental. Where we describe a real case, we do so with permission and with identifying details changed.
10. No warranties
The Site and its content are provided "as is" and "as available." To the fullest extent permitted by law, KedgePoint disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.
We work to keep the Site accurate and current, but statistics, market data, legal rules, and tax treatment change. We do not promise that anything on the Site is complete, current, or correct at the time you read it, and we are under no obligation to update it.
11. Limitation of liability
To the fullest extent permitted by law, KedgePoint and its members, managers, employees, contractors, and agents will not be liable to you for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, business value, data, or goodwill, arising out of or related to your use of or inability to use the Site, even if we were advised such damages were possible.
To the fullest extent permitted by law, our total liability to you for all claims arising out of or related to the Site or these Terms will not exceed one hundred U.S. dollars ($100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. In that case, our liability is limited to the smallest amount the law allows.
Nothing in these Terms limits liability that cannot be limited under applicable law.
12. Indemnification
You agree to defend, indemnify, and hold harmless KedgePoint and its members, managers, employees, contractors, and agents from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Site, or your violation of any law or third-party right.
13. Governing law and where disputes are heard
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules.
Any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in King County, Washington, and you consent to the personal jurisdiction of those courts. If you are outside the United States, you agree that the Site is directed to the U.S. market and that this choice of law and forum is reasonable.
Each party waives any right to participate in a class action or class-wide arbitration with respect to any claim arising under these Terms.
Any claim arising out of or relating to the Site or these Terms must be filed within one year after it arose, or it is permanently barred, to the extent the law allows.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will post the revised version on the Site and update the effective date at the top. Changes take effect when posted. Your continued use of the Site after a change means you accept the revised Terms. We encourage you to review this page periodically.
15. Termination
We may suspend or end your access to the Site at any time, with or without notice, for any reason, including a violation of these Terms. Sections 1, 5, 6, and 9 through 16 survive any termination.
16. General
These Terms, together with our Privacy Policy, are the entire agreement between you and KedgePoint about the Site. A signed engagement agreement, if one exists, governs the services it describes and controls over these Terms if they conflict.
If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them to a successor of our business. Headings are for convenience only.
